1 Acceptance of the Terms

By accessing our pages, completing a form, requesting a demo, accepting the Sitio IA offer, or subscribing to any plan, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy, which forms part of these Terms by reference. If you do not agree, you must not use the Service.

2 Definitions

• “Company,” “we,” “us”: HispanoCity LLC, operator of the Sitios IA and Miami Hispano brands.
• “Service”: the artificial-intelligence-powered website (“Sitio IA”), the system of AI agents that respond to chats, messages, and calls, and the associated features, automations, and support.
• “Customer,” “you”: the person or business that accesses or contracts the Service.
• “AI Agent”: the artificial intelligence assistant that interacts via chat, voice, or telephone.

3 Description of the Service

Sitios IA provides the creation and operation of an artificial-intelligence-powered website, along with a system of AI agents capable of responding to chats, messages, and phone calls for your business, plus automation and customer-acquisition features. The Service is offered under different plans, as described in Section 7.

We reserve the right to modify, improve, or discontinue features of the Service at any time. We will make reasonable efforts to notify you of significant changes.

4 Eligibility

To use the Service you must be at least 18 years old, be a business owner or authorized to act on its behalf, and have the legal capacity to enter into a binding contract. By accepting these Terms, you represent that you meet these requirements and that the information you provide is true and current.

5 The free Sitio IA offer

From time to time we offer a Sitio IA at no cost (the “Offer”) as part of a promotion. The following conditions apply to the Offer:

• The Offer may be limited in number of spots, time, or region, as indicated on the corresponding promotional page.
• The Offer covers the initial creation of the Sitio IA according to the scope we communicate; additional features, AI agents, integrations, or ongoing maintenance services may require subscribing to a paid plan.
• To activate and maintain the Sitio IA, we may require your collaboration (for example, providing your business information) within the timeframes we indicate.
• We may modify or withdraw the Offer at any time prior to your acceptance. The specific conditions published on the Offer page prevail over any general description.

6 Registration and account

To use certain features, it may be necessary to create an account or provide contact information. You are responsible for maintaining the confidentiality of your credentials and for all activity carried out under your account. Notify us immediately of any unauthorized use.

7 Plans, pricing, and payments

The Service is offered under different plans with different features and prices, as described on our current pricing page. By subscribing to a paid plan, you agree to the following:

• Recurring billing: subscription plans are billed periodically (for example, monthly) and renew automatically until you cancel them.
• Charge authorization: you authorize our payment processors to charge the payment method you provide for the applicable fees, including taxes.
• Price changes: we may modify prices; we will notify you with reasonable advance notice before a change applies to your next billing period.
• Cancellation: you may cancel your subscription at any time according to the procedure we indicate. Cancellation takes effect at the end of the current billing period.
• Refunds: unless required by law or unless we expressly state a different policy, payments are non-refundable.
• Non-payment: we may suspend or terminate the Service if a payment is not completed.

8 Consent to communications

By providing your contact information and accepting these Terms, you agree that HispanoCity LLC and its AI agents may contact you by email, text message (SMS), WhatsApp, and telephone, including calls that may use artificially generated voice and that may be recorded, for service, reminders, and—when you provide your consent—marketing purposes.

9 Artificial intelligence services

The Service includes artificial intelligence agents that may respond in an automated manner. You acknowledge and agree that:

• AI Agents generate responses automatically and may contain errors, inaccuracies, or omissions. You should not treat their responses as professional, legal, financial, medical, or any other type of advice.
• Where appropriate, a human advisor from our team may intervene or follow up on your inquiry.
• We do not guarantee that the AI Agent will be available without interruption or that it will respond correctly in all cases.
• You are responsible for reviewing and validating relevant information before making decisions based on the AI Agent’s responses.

10 Your content

You retain ownership of the content, brand, text, images, and information you provide to us to configure your Sitio IA and your agents (“Your Content”). You grant us a limited, non-exclusive, revocable license to use, host, reproduce, and process Your Content for the sole purpose of providing you the Service. You represent that you have the necessary rights to Your Content and that it does not infringe third-party rights or applicable laws.

11 Intellectual property

The Service, including its software, platform, templates, designs, AI agents, trademarks (including “Sitios IA,” “Miami Hispano,” and “HispanoCity”), logos, and other materials, is the property of HispanoCity LLC or its licensors and is protected by intellectual property laws. You acquire no rights to them other than the limited use license described in these Terms. You may not copy, modify, distribute, resell, or reverse-engineer the Service without our written consent.

12 Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation, including marketing, privacy, and consumer-protection laws.
• Send unsolicited communications, spam, or messages without the required consent.
• Upload illegal, fraudulent, defamatory, infringing, or harmful content.
• Introduce viruses, malicious code, or attempt to access our systems without authorization.
• Impersonate another person or misrepresent your relationship with a business.

You are solely responsible for the legal compliance of the communications and campaigns you carry out through the Service, including obtaining the necessary consents from your own customers.

13 Third-party services

The Service may integrate with or depend on third-party platforms (for example, CRM and automation systems, messaging platforms, voice and AI providers, payment processors, and advertising platforms). We are not responsible for the availability, practices, or policies of such third parties, and your use of them may be subject to their own terms.

14 Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the maximum extent permitted by law, HispanoCity LLC disclaims all implied warranties, including those of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that it will produce specific business results.

15 Limitation of liability

To the maximum extent permitted by law, HispanoCity LLC and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or customers, arising out of or related to the use of the Service.

HispanoCity LLC’s total and cumulative liability for any claim related to the Service shall not exceed the total amount you have paid us in the twelve (12) months prior to the event giving rise to the claim, or one hundred dollars (US$100) if you have paid us nothing.

16 Indemnification

You agree to defend, indemnify, and hold harmless HispanoCity LLC against any claim, damage, loss, liability, and expense (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) Your Content; or (d) the communications or campaigns you carry out through the Service, including any breach of marketing, privacy, or consumer-protection laws.

17 Term and termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access, with or without cause, in the event of a breach or when we deem it necessary. You may stop using the Service at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will continue in effect after termination.

18 Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, United States, without giving effect to its conflict-of-laws rules.

Arbitration and class-action waiver

To the maximum extent permitted by law, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration, and not in court, except that you may bring claims in small-claims court if they qualify. The arbitration will be conducted in Broward County, Florida, or remotely, in accordance with the rules of a recognized arbitration entity.

You waive your right to participate in a class action or class arbitration. All claims will be resolved individually.

If the arbitration clause is found unenforceable, the parties submit to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida.

19 Changes to the Terms

We may update these Terms periodically. We will post the current version on this page with its “Last updated” date. Continued use of the Service after the changes are posted constitutes your acceptance of the modified Terms.

20 General provisions

• Entire agreement: these Terms and the Privacy Policy constitute the entire agreement between you and HispanoCity LLC regarding the Service.
• Severability: if any provision is found invalid, the remaining provisions will remain in effect.
• Waiver: our failure to enforce a provision does not constitute a waiver of it.
• Assignment: you may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
• Force majeure: we will not be liable for failures arising from causes beyond our reasonable control.
